Terms of Service (Subscription)
These Terms of Service ("Terms") govern access to and use of the Corvyn Labs subscription services, including the Corvyn Labs portal, automation features, voice workflows, messaging workflows, APIs, and any related software or services (collectively, the "Services").
These Terms are intended to be used by businesses. If you are entering into these Terms on behalf of an entity, you represent that you have authority to bind that entity.
1. Definitions
- "Customer" means the business entity using the Services.
- "Authorized User" means a person Customer permits to access the Services (for example, Customer’s employees or contractors).
- "End User" means a Customer’s customer, prospect, or contact.
- "Customer Data" means data, content, and information submitted to the Services by or on behalf of Customer.
- "AI Output" means content generated, drafted, summarized, or suggested by AI components.
- "Order" means the ordering process, checkout page, subscription selection, or other mutually agreed method for Customer to purchase a plan.
2. Scope and relationship to other policies
These Terms incorporate by reference the Privacy Policy, Acceptable Use Policy, and AI & Voice Disclosures. If there is a conflict between these Terms and an Order Form or written agreement signed by both parties, the signed agreement controls.
3. Eligibility; business use
The Services are intended for business use. Customer represents that it will use the Services for lawful business purposes and that its Authorized Users are permitted to use the Services on Customer’s behalf.
4. Account access and security
Customer is responsible for maintaining the confidentiality of login credentials and for all activity under Customer’s account. Customer must promptly notify Corvyn Labs of any suspected unauthorized access.
Customer is responsible for provisioning and deprovisioning access for Authorized Users, and for ensuring Authorized Users comply with these Terms.
5. Customer responsibilities (compliance, consent, and lawful use)
Customer is solely responsible for:
- Obtaining and documenting any required consents prior to contacting End Users by SMS, email, or voice.
- Complying with all applicable laws and regulations, including consumer protection, privacy, and telecommunications rules.
- Honoring opt-out requests and maintaining accurate suppression lists.
- Providing required notices for call recording and obtaining any required recording consent.
- Ensuring Customer Data is accurate, collected lawfully, and does not infringe rights or violate applicable law.
Customer acknowledges that messaging and telephony ecosystems may apply additional requirements and restrictions, including carrier filtering, throughput limits, content policies, and enforcement actions.
6. AI, automation, and voice disclosures
The Services may include deterministic logic (rules, routing, validation) and non-deterministic components (including LLM-based features). Non-deterministic systems can produce variable or incorrect results. Customer is responsible for configuring appropriate safeguards and meaningful human review where needed.
Customer must not rely on AI Output as legal, medical, financial, or safety advice. Customer remains responsible for decisions and actions taken based on AI Output.
Customer is responsible for using AI and automation in a way that is transparent to End Users where required and for ensuring that communications are not deceptive, unlawful, or misleading.
7. Acceptable use; prohibited activities
Customer must comply with the Acceptable Use Policy. Corvyn Labs may suspend or terminate access if Customer violates the Acceptable Use Policy or if Customer’s use poses risk to End Users, third parties, or Corvyn Labs.
8. Third-party services
The Services may depend on or integrate with third-party services (for example, telephony providers, messaging providers, email providers, payment processors, analytics, or model providers). Corvyn Labs is not responsible for third-party services, including outages, filtering, delivery failures, or policy enforcement.
Customer’s use of third-party services is subject to the third party’s terms and policies. Customer is responsible for maintaining accounts with third-party providers where required.
9. Fees, billing, and taxes
Customer will pay fees associated with the selected subscription plan, plus any usage-based charges and applicable taxes. Fees are non-refundable except as required by law or expressly stated in a signed written agreement.
9.1 Subscriptions; renewals
Subscriptions generally renew automatically until cancelled. Customer can cancel renewal through the account billing settings or as otherwise provided in the Order.
9.2 Promotions and discounts
From time to time we may offer promotional pricing or discounts. Promotions may have additional eligibility requirements, redemption limits, or expiration conditions.
Unless expressly stated in an Order, the Services do not include a free trial. If a trial is offered, it may be subject to additional terms and may require a payment method.
9.3 Taxes
Fees are exclusive of taxes and similar governmental assessments. Customer is responsible for paying applicable taxes, except for taxes based on Corvyn Labs’ net income.
10. Suspension and termination
Corvyn Labs may suspend or terminate Customer’s access to the Services for non-payment, suspected fraud, abuse, security risk, or violation of these Terms or the Acceptable Use Policy.
We may take reasonable steps to notify Customer of a suspension where practicable. Suspension may include pausing outbound communications, disabling specific workflows, or restricting access to protect End Users, third parties, or the Services.
11. Customer Data
As between the parties, Customer retains all rights to Customer Data. Customer grants Corvyn Labs a limited license to process Customer Data to provide, maintain, and improve the Services, including for security, fraud prevention, and compliance.
Customer is responsible for determining whether the Services are suitable for the types of data it submits and for configuring retention, access, and workflow settings consistent with its obligations.
11.1 Data processing roles
Customer is generally the controller of Customer Data and Corvyn Labs generally acts as a processor/service provider when processing Customer Data on Customer’s behalf. Corvyn Labs may also process limited data as a controller for account management, billing, and security.
12. Confidentiality
Each party may receive non-public information from the other party. Each party agrees to protect the other party’s confidential information using reasonable measures and to use it only for purposes of performing under these Terms.
13. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." CORVYN LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVYN LABS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORVYN LABS’ TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER TO CORVYN LABS FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
15. Indemnification
Customer will defend, indemnify, and hold harmless Corvyn Labs from and against third-party claims arising from Customer Data, Customer’s communications to End Users, or Customer’s breach of these Terms or the Acceptable Use Policy.
16. Changes
We may update these Terms from time to time. The "Last updated" date indicates the most recent revision.
17. Governing law
These Terms are governed by the laws of the jurisdiction in which Corvyn Labs is organized, without regard to conflict-of-laws principles.
